Terms & Conditions Agreement

This TERMS AND CONDITIONS AGREEMENT sets forth the agreement between FreshThink, Inc., DBA Get H57 ("Get H57", "we" or "us") and each affiliate marketer ("you", "affiliate" or "affiliates") governing the use by you of this site. Please read this agreement carefully before joining the Get H57 affiliate program. By joining the Get H57 Affiliate Program, you signify your assent to this Terms of Use agreement. If you do not agree to the terms and conditions contained in this Terms of Use agreement, please do not join the Get H57 Affiliate program as your application will not be accepted.

Promoting the H57 Brand Name

In order to maintain the original and official integrity and recognizable brand name in the marketplace, we ask that all of our affiliates do not engage in any of the following activities:

- Misleading consumers by promoting H57, but selling other products instead.

- Operate or utilize a Web site or email link to Web sites that contain or promote any of these types of content: libelous, defamatory, obscene, pornographic, abusive, violent, bigoted, hate-oriented, illegal, cracking, or hacking, or that offer any illegal good or service, or link to a Web site(s) that do so and/or.

- Engage in spamming, indiscriminate advertising or unsolicited commercial email.

- Engage in cybersquatting or typosquatting.

- Changing of ANY pricing. It is all dictated directly from the company that owns H57.

- Copyright, graphic, header or icon infringement of any kind from the product site, www.myh57.com.

In order to be an Affiliate for the official H57 product in the Get H57 Affiliate Program, you must:

- Have your own web site, owned and managed under your direction. A site under which you have full accountability.

- All graphics, banners, icons, headers, overall design must be your original design. Any replication of the H57 product site (www.myh57.com) is not permitted.

- Operate under the direction and guidelines of the Get H57 Affiliate Program.

Payment of Commission.

Get H57 will pay all of our affiliates by the 15th of the following month provided that the affiliates commission is fifty dollars or greater. All commissions will be paid in US currency. Get H57 reserves the right to withhold any commissions it deems as fraudulent such as those being earned or obtained through the use of spyware or any other commission altering software program.

No Guarantees.

You understand that Get H57 and/or their assigns does not guarantee or predict any type of profit or response from said products. Subscriber agrees to hold officers and representatives of JEC Nutrition and Get H57 completely harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which Get H57 and/or their assigns may become subject arising out of or relating in any way to the use of the products provided under this agreement, including, without limitation, in each case attorneys' fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities.

Termination.

We reserve the right to terminate the affiliate relationship with you for violation of any of the above mentioned items at any time within our sole discretion with or without notice.

No Warranties.

WE MAKE NO WARRANTIES TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE PRODUCT H57, ITS SUBCONTRACTORS AND AFFILIATES PROVIDE YOU. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THIS PROGRAM OR PRODUCTS FOR A PARTICULAR PURPOSE. We shall not be liable for any damages suffered by you, whether indirect, special, incidental, exemplary, or consequential, including, but not limited to, loss of data or service interruptions, regardless of cause or fault. We are not responsible for your lost profits or for your loss of data or information. If notwithstanding this clause we are held liable to you.
If we learn of a violation or likely violation of our TERMS OF SERVICE, we will attempt to notify you. If you do not take immediate remedial action which is satisfactory to us, or in the event of a serious violation of the TERMS OF SERVICE, we reserve the right to terminate your account immediately. Every effort will be made to inform you prior to account termination, and to re-establish your account upon receiving such representations from you as we deem appropriate in the circumstances.
Assignment.

This agreement is personal to you. You may not assign your rights under this agreement without our prior written consent. If you do assign your rights, as would be the case were someone other than you to use your account, you shall remain liable to us for any fees due under this agreement. We may assign this agreement at any time.

Change of Terms and Conditions.

We reserve the right to change the terms and conditions of this agreement as needed. If you do not agree to the new terms and conditions, you may terminate this agreement.
Notification of Account Changes.

You agree to provide us with such other information relating to your participation in this program. You agree to notify us if your address, email address, telephone number, billing information changes. It is your responsibility to update your information as it changes/as needed.
Notices.

All notices, requests, demands, and other communications under this agreement shall be in writing, email or fax. All correspondence shall be deemed to have been given on the date of delivery: if sent by electronic mail; if sent by fax; or on the third day after mailing by first class mail.
Returns.

Commission for any returns or refund requests will be deducted from the following months' commissions.

User Submissions.

Any suggestions, ideas, comments or other similar submissions by users shall be deemed the sole property of Get H57, which shall not be liable for any use or disclosure, including without limitation use for commercial purposes, of such submissions. You agree to grant Get H57 a worldwide, royalty-free, perpetual license, with the right to reproduce, transmit, distribute, publicly display, publicly perform, create derivative works of and sublicense any materials or other information contained in such submissions. You hereby waive any claim, cause of action or other recourse that you might have against Get H57 for any alleged or actual infringement or misappropriation of any intellectual property or other right in any such submissions.

No Warranty - Disclaimer.

Get H57 is providing this site and its contents on an "as is" basis. Get H57 and its officers, directors, employees, agents, licensors, suppliers, content providers and the like (together, "affiliates") make no representations or warranties of any kind, express or implied, with respect to this site or its contents, including without limitation the products, information or services offered or sold on or through this site or any other site to which this site links (each a "Linked Site") and the uninterrupted and error-free use of this site.
